1. Privacy Policy

Your use of the Valliani App is subject to the Valliani Jewelers Privacy Policy and California Employee/Contractor Privacy Notice, which explains how Valliani Jewelers collects, uses, discloses, monitors, retains, and protects personal information in connection with the Valliani App. To the extent applicable, the Privacy Policy addresses rights and disclosures under the California Consumer Privacy Act, as amended by the California Privacy Rights Act ("CCPA/CPRA").

2. About the Service

The Valliani App is designed to facilitate internal communication and collaboration within Valliani Jewelers. It may allow authorized users to send and receive messages, share documents, collaborate on tasks, access company communications, and use related workflow or productivity features.

3. Authorized Users and Account Security

You may use the Valliani App only if you are an authorized Valliani Jewelers employee, contractor, or approved user. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must immediately notify Valliani Jewelers of any actual or suspected unauthorized access, credential compromise, security incident, or misuse of the Valliani App.

4. Business Use Only

The Valliani App is provided for authorized Valliani Jewelers business purposes only. You may not use the Valliani App for personal commercial activity, outside business activity, unlawful activity, or any purpose unrelated to authorized Valliani Jewelers work unless expressly permitted by company policy.

5. Monitoring and No Expectation of Privacy

The Valliani App is a company-provided internal communication and collaboration tool. Users should not expect communications, files, activity, metadata, or other content within the Valliani App to be private from Valliani Jewelers.

Valliani Jewelers may access, monitor, review, preserve, disclose, or use app communications, files, login activity, device information, usage records, and other app data for legitimate business purposes, including app administration, security, HR matters, investigations, legal compliance, dispute resolution, and enforcement of company policies. Use of the Valliani App constitutes acknowledgment of this monitoring notice.

6. User Conduct and Restrictions

• Use the Valliani App to harass, threaten, intimidate, discriminate against, defame, or harm others.
• Post, send, upload, or distribute offensive, unlawful, malicious, false, defamatory, discriminatory, or inappropriate content.
• Share, disclose, download, copy, or distribute personal information, confidential information, trade secrets, customer information, employee information, business records, or company data except as authorized for legitimate Valliani Jewelers business purposes.
• Use the Valliani App in a way that violates company policies, applicable law, privacy obligations, employment obligations, confidentiality obligations, or intellectual property rights.
• Attempt to gain unauthorized access to the Valliani App, other accounts, company systems, or data.
• Interfere with, disrupt, reverse engineer, scrape, extract, probe, scan, test, overload, or manipulate the Valliani App or its security controls.
• Share your account credentials or allow another person to use your account.
• Use automated tools, bots, scripts, scraping tools, or similar technologies unless expressly authorized in writing by Valliani Jewelers.

7. User Content

The Valliani App may allow you to submit, post, upload, send, or share messages, documents, comments, tasks, files, attachments, and other content ("User Content"). You are responsible for ensuring that your User Content is accurate, appropriate, work-related, and compliant with company policy and applicable law.

You grant Valliani Jewelers a limited, non-exclusive, royalty-free license to host, store, access, display, transmit, reproduce, preserve, review, and use User Content solely as necessary to operate the Valliani App, support company business, maintain security, investigate misconduct, comply with legal obligations, preserve business records, and enforce company policies.

8. Confidentiality and Data Protection

You must protect Valliani Jewelers confidential information, customer information, employee information, contractor information, business records, and other non-public information. You may access, use, and disclose such information only as authorized and only for legitimate company business purposes. You must promptly report any actual or suspected unauthorized disclosure, loss, misuse, or compromise of information.

9. Audio, Video, Calls, and Recordings

If the Valliani App includes voice, video, meeting, screen-recording, voice-note, call-recording, or similar features, you may not record, intercept, monitor, or distribute any audio, video, call, meeting, screen share, or confidential communication unless all parties have provided legally required consent and the recording complies with company policy and applicable law. Any recording feature must be used only for authorized company purposes.

10. Third-Party Links and Services

The Valliani App may provide links or integrations to third-party websites, applications, or services. Valliani Jewelers is not responsible for third-party content, availability, security, or privacy practices. Your use of third-party services may be subject to separate terms and privacy policies.

11. Intellectual Property

Valliani Jewelers owns or has rights to the Valliani App, including its design, features, software, documentation, trademarks, and other intellectual property. You may not copy, modify, distribute, sell, sublicense, reverse engineer, create derivative works from, or otherwise exploit the Valliani App except as expressly authorized by Valliani Jewelers.

12. Company Policies and Employment Relationship

Your use of the Valliani App must comply with all applicable Valliani Jewelers policies, including policies relating to confidentiality, security, acceptable use, anti-harassment, discrimination, records retention, workplace conduct, and privacy. These Terms of Use do not create an employment contract, alter any at-will employment relationship where applicable, or change any written employment or contractor agreement.

13. Suspension or Termination of Access

Valliani Jewelers may suspend, restrict, or terminate your access to the Valliani App at any time, including if your employment or contractor relationship ends, your access is no longer required, or Valliani Jewelers determines that your use may violate these Terms, company policy, security requirements, or applicable law.

14. Warranty Disclaimer

The Valliani App is provided "as is" and "as available." To the maximum extent permitted by law, Valliani Jewelers disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of availability, reliability, accuracy, non-infringement, merchantability, and fitness for a particular purpose. Valliani Jewelers does not guarantee that the Valliani App will be uninterrupted, error-free, secure, or free of harmful components.

15. Limitation of Liability

To the maximum extent permitted by law, Valliani Jewelers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost data, business interruption, or other losses arising from or relating to use of or inability to use the Valliani App. Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

16. Changes to the Valliani App or Terms

Valliani Jewelers may modify, suspend, or discontinue the Valliani App or update these Terms of Use from time to time. Material changes will be communicated by posting updated terms within the app, by email, or through another reasonable method. Continued use of the Valliani App after updated terms become effective constitutes acceptance of the updated terms.

17. Governing Law and Venue

These Terms of Use are governed by the laws of the State of California, without regard to conflict-of-law principles. Unless applicable law requires otherwise, disputes arising from or relating to these Terms or the Valliani App will be resolved in the state or federal courts located in California, and the parties consent to jurisdiction and venue in those courts.

18. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
